1. Scope of Services

Jotaro Strategy provides professional software development services, including web application design, mobile application engineering (iOS & Android), UI/UX design, cloud infrastructure deployment, and technical consulting. Specific scope, timelines, deliverables, and acceptance criteria are outlined in individual Statements of Work (SOW) agreed upon between the Client and Company.

2. Payment Terms & Currency

• All pricing, fees, and transactions are denominated and processed in United States Dollars (USD) unless explicitly stated otherwise in writing.
• Deposit Requirements: Projects typically require an upfront retainer deposit (typically 50%) prior to the initiation of research, design, or coding.
• Milestone Payments: Remaining project fees are billed upon reaching predefined project milestones as stipulated in the client Statement of Work.
• Payment Processing: Payments are processed securely via Stripe using major credit cards or bank transfers. We do not store raw credit card credentials on our servers.

3. Client Obligations & Responsibilities

Client agrees to provide timely access to necessary assets, branding guidelines, content, third-party API credentials, and technical feedback. Delays in feedback exceeding ten (10) business days may adjust estimated project completion timelines.

4. Intellectual Property & Ownership Rights

Upon final payment in full of all outstanding invoices, the Company transfers to the Client all full ownership rights, title, and intellectual property interest in the final custom software source code, designs, and deliverables created specifically for the Client under the agreed SOW. The Company retains ownership of pre-existing software libraries, open-source frameworks, or proprietary internal tools leveraged during development.

5. Warranties & Acceptance Period

The Company warrants that the software developed will perform substantially in accordance with the specifications in the SOW for a period of thirty (30) calendar days post-deployment ("Warranty Period"). During this period, the Company will remediate reproducible software bugs or defects at no additional charge. Modifications requested outside the original SOW scope will be quoted separately.

6. Limitation of Liability

In no event shall the Company be liable for any indirect, incidental, special, or consequential damages (including loss of profits, data, or business interruption) arising out of or in connection with the software or services provided, exceeding the total amount paid by the Client to the Company for the specific engagement.

7. Governing Law

These Terms shall be governed and construed in accordance with applicable commercial laws. Any legal action or dispute arising hereunder shall be subject to the jurisdiction in which the Company's operator resides.

1. Upfront Retainer / Deposit Refundability

• Prior to Work Initiation: If a client requests cancellation within 72 hours of paying the initial deposit and prior to the commencement of discovery or development work, a 100% full refund (minus third-party payment processing fees) will be issued.
• After Work Has Commenced: Once research, wireframing, architecture planning, or software engineering work has begun, the initial deposit becomes non-refundable to cover expended resource hours.

2. Project Milestones & Interim Work

Custom development projects are billed in stages tied to verifiable milestones (e.g., Design Approval, Beta Release, Production Launch). Once a milestone sign-off is submitted by the client and the associated invoice is paid, that payment is considered final and non-refundable.

3. Client-Initiated Project Cancellation

Clients may cancel an active development project at any time by providing formal written notice to jotarostrategy@gmail.com. Upon receipt of cancellation notice:

• The client will be invoiced for all unbilled hours or partial milestones completed up to the cancellation date.
• All completed design work, wireframes, code repositories, and documentation created up to the point of cancellation will be transferred to the client upon settlement of outstanding fees.

4. Refund Processing Timeline

Eligible refunds approved under this policy will be processed back to the original card or payment account used during checkout via Stripe. Processing times typically take 5 to 10 business days depending on your financial institution.
